TERMS AND CONDITIONS
For Keynotes, Workshops & Training Sessions
These Terms and Conditions apply to all bookings including but not limited to keynote speeches, workshops, training sessions, and consultancy services provided by S K Transformations Ltd.
Please read them carefully and ensure you understand and accept them before confirming your booking. By engaging our services, you confirm your agreement to these terms.
In cases where S K Transformations Ltd has issued a contract, the terms of the contract override the ones set out here.
1. Booking Confirmation
A session is only considered confirmed once we have received either:
- A signed agreement, or
- Written/email confirmation from the client
In some cases, a non-refundable deposit may be required to secure the date.
At this point, your date(s) will be reserved in our calendar.
2. Fees & Payment Terms
- All fees are outlined in your proposal or agreement.
- Standard payment terms are 30 days from invoice.
- Invoices are typically issued as follows:
- 50% deposit upon confirmation.
- 50% balance due 30 days prior to the event (or full payment upfront if the event is within 30 days).
- 50% deposit upon confirmation.
- Late payments may be subject to interest under the Late Payment of Commercial Debts (Interest) Act 1998.
3. Cancellations & Postponements
Due to preparation time and scheduling constraints, the following cancellation fees apply:
Workshops and Training Series
- More than 14 calendar days’ notice – No cancellation fee. Deposits may be retained as a credit for future use (valid for 6 months).
- 8–14 calendar days’ notice – 50% of the session fee is payable.
- 7 days or fewer – 100% of the session fee is payable.
Keynote Speeches and One-off Sessions
- More than 45 calendar days’ notice – No cancellation fee.
- 15–45 calendar days’ notice – 50% of the fee is payable plus any pre-booked out-of-pocket travel expenses.
- 14 days or fewer – 100% of the fee is payable plus any pre-booked out-of-pocket travel expenses.
Important: Any postponement is considered a cancellation unless a mutually agreed replacement date is confirmed within 7 days of the original date.
Cancellations or changes must be submitted in writing.
4. Rescheduling
We will always do our best to accommodate rescheduling requests. However, these are subject to availability. Rescheduling with less than 14 days’ notice may be treated as a cancellation and charged accordingly.
5. Speaker Unavailability
If Shola Kaye is unable to deliver a session due to illness or emergency:
- Every effort will be made to reschedule or provide a suitable substitute.
If this is not possible, a full refund will be offered for the affected session(s).
6. Client Responsibilities
The client is responsible for:
- Ensuring all necessary facilities, technology, and access arrangements are in place prior to the session.
- Communicating audience needs, learning objectives, and logistical details in advance.
- Starting sessions promptly. Delays caused by the client will not result in an extended session.
7. Intellectual Property
All materials provided by S K Transformations Ltd remain our intellectual property. This includes slides, handouts, workbooks, recordings, and digital content.
Materials may not be reused, copied, recorded, or distributed without our express written consent.
8. Use of Recordings
- Sessions may not be recorded unless agreed beforehand in writing.
- Where recording is permitted, it is for internal use only, unless licensed separately for wider distribution.
9. Force Majeure
Neither party is liable for events outside their control (e.g. illness, extreme weather, travel disruption). In such cases, both parties will make reasonable efforts to reschedule the session.
10. Behaviour & Environment
We are committed to delivering inclusive, engaging, and respectful sessions. We ask that all participants and hosts foster a positive and professional environment.
11. Travel & Logistics (In-Person Events)
If your session is being delivered in person, the following apply:
- Reasonable travel, accommodation and related expenses must be covered by the client (unless otherwise agreed).
- Client is responsible for ensuring access, venue readiness, and any necessary technical setup.
- Provision of an on-site or remote contact person to assist with logistics on the day.
12. Acceptance of Terms
By confirming a booking, you acknowledge that you have read and agreed to these Terms & Conditions. These should be read in conjunction with any signed agreement or proposal document.
